INTRODUCTION & ACCEPTANCE

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and Moviao.com ("Moviao," "Company," "we," "us," "our"). These Terms govern your access to and use of our platform, website, mobile applications, and all related services (collectively, the "Platform").

By accessing, browsing, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately cease accessing the Platform and discontinue use of our services.

These Terms apply to all users of the Platform, including but not limited to: event organizers, event promoters, ticket purchasers, attendees, subscribers, and any other individuals or entities that access or use any portion of the Platform, whether through a web browser, mobile application, or any other means.

SECTION 1: DEFINITIONS & KEY TERMS

For the purposes of these Terms, the following definitions apply:

1.1 Platform: Moviao.com's professional networking and event management system, including all websites, mobile applications, software, tools, and services provided by Moviao.

1.2 Organizer: Any individual or entity that creates, manages, promotes, or sells tickets for events through the Platform.

1.3 Attendee: Any individual who purchases a ticket, subscription, or gains access to an event through the Platform.

1.4 Event: Any gathering, conference, workshop, webinar, concert, performance, social gathering, or other activity promoted and managed through the Platform.

1.5 Ticket: A digital or physical pass granting an individual access to all or a portion of an Event.

1.6 Subscription: A recurring or time-limited access pass granting benefits to a User.

1.7 Payment Processing Fee: The service fee charged by Moviao for processing transactions, including payment collection, verification, and fund transfers.

1.8 Personal Data: Any information relating to an identified or identifiable natural person as defined under GDPR and applicable data protection laws.

1.9 GDPR: The General Data Protection Regulation (EU 2016/679) and all corresponding local implementations in EU and EEA member states.

1.10 Processor Agreement: Data processing agreements between Moviao and its sub-processors (e.g., payment gateways, hosting providers).

SECTION 2: ELIGIBILITY & LEGAL REQUIREMENTS

2.1 Age Requirement: You confirm that you are at least 18 years of age or the age of majority in your jurisdiction, whichever is greater. Individuals under 18 may only use the Platform with the express written consent of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.

2.2 Legal Authority: By using the Platform, you represent and warrant that:
a) You have the legal right and authority to enter into these Terms.
b) You are not prohibited by law from using the Platform in your jurisdiction.
c) You have not been convicted of any criminal offense involving fraud, embezzlement, violence, or other crimes of moral turpitude.
d) You are not listed on any sanctions list or restricted party list (including OFAC, EU sanctions lists, etc.).

2.3 Jurisdiction Restrictions: The Platform may not be accessible or legal to use in certain jurisdictions. You are responsible for ensuring compliance with all local, state, national, and international laws applicable to your jurisdiction.

2.4 Prohibited Jurisdictions: The Platform is not available to users located in or domiciled in countries under international sanctions, including but not limited to: Iran, North Korea, Syria, Cuba, and Crimea. If you breach this restriction, your account will be immediately terminated and banned permanently.

SECTION 3: ACCOUNT CREATION & REGISTRATION

3.1 Account Requirements: To access certain features of the Platform, you must create an account. When creating an account, you agree to:
a) Provide accurate, truthful, and current information.
b) Update your information promptly if any details change.
c) Maintain confidentiality of your account credentials (username, password, authentication tokens).
d) Accept full responsibility for all activities conducted under your account.

3.2 Password Security: You are solely responsible for maintaining the confidentiality and security of your password. You agree that Moviao is not liable for any loss, damage, or unauthorized access resulting from your failure to maintain password security. You must immediately notify Moviao if you suspect unauthorized access to your account.

3.3 Account Suspension: Moviao may immediately suspend or terminate your account if you violate any part of these Terms, engage in fraudulent activity, or pose a security risk to other users. You will not be entitled to a refund of any fees if your account is terminated due to violations.

3.4 Multiple Accounts: You may not create multiple accounts to circumvent suspensions, restrictions, or payment obligations. Creating duplicate accounts may result in immediate termination of all associated accounts and permanent banning from the Platform.

3.5 Account Transfer: Accounts are non-transferable and non-assignable. Your account is personal and unique to you, and you may not sell, trade, or transfer your account to any other person or entity.

SECTION 4: SERVICES PROVIDED & INTERMEDIARY STATUS

4.1 Platform Services: Moviao provides:
a) Professional Networking Features: User profiles, direct messaging, community forums, and networking tools.
b) Event Management Tools: Event creation, promotion, scheduling, and management utilities.
c) Ticketing Infrastructure: Digital ticketing systems, seat selection, and access management.
d) Subscription Management: Recurring billing, subscription tiers, and access control.
e) Payment Processing Infrastructure: We act as a payment intermediary, processing transactions between Organizers and Attendees using PCI-DSS compliant payment processors.

4.2 Intermediary Disclaimer: Moviao acts exclusively as an intermediary between Organizers and Attendees. We do NOT:
a) Organize, conduct, or execute events.
b) Provide event security, insurance, or safety services.
c) Warrant the quality, legality, or appropriateness of any event.
d) Bear liability for event cancellations, postponements, or changes in format.
e) Guarantee ticket validity or event attendance.

4.3 Third-Party Services: Moviao may integrate or partner with third-party payment processors, email providers, hosting services, or other vendors. Your use of these services is governed by their respective terms and privacy policies. Moviao is not liable for any failures, breaches, or misconduct by third-party providers.

4.4 Service Availability: While Moviao strives to maintain continuous service availability, we do not guarantee uninterrupted or error-free service. We may conduct maintenance, updates, or security patches that temporarily disrupt service. We will provide reasonable notice of planned maintenance when feasible.

4.5 No Warranties: The Platform is provided "as-is" and "as-available." Moviao disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement of third-party rights.

SECTION 5: USER CONDUCT & PROHIBITED ACTIVITIES

5.1 Prohibited Conduct: You agree NOT to engage in any of the following activities while using the Platform:

FRAUDULENT ACTIVITIES:
a) Creating fake events, tickets, or subscriptions to deceive users.
b) Using the Platform to facilitate fraud, money laundering, or terrorist financing.
c) Engaging in chargeback fraud or disputing legitimate transactions.
d) Using stolen payment methods or identity information.
e) Creating fake user profiles or accounts impersonating others.

HARASSMENT & ABUSE:
f) Sending harassing, threatening, defamatory, or abusive messages to other users.
g) Engaging in cyberbullying, stalking, or doxxing.
h) Posting hate speech, discriminatory content, or violent threats.
i) Sexually harassing or exploiting other users.

ILLEGAL ACTIVITIES:
j) Organizing or promoting illegal activities, including drug sales, weapons trafficking, or prostitution.
k) Organizing events that violate local laws or regulations.
l) Using the Platform to solicit illegal services or products.
m) Distributing malware, viruses, or harmful code.

INTELLECTUAL PROPERTY VIOLATIONS:
n) Uploading copyrighted content without authorization.
o) Facilitating ticket scalping, resale, or unauthorized distribution.
p) Violating third-party intellectual property rights.

PLATFORM ABUSE:
q) Attempting to hack, breach, or exploit the Platform's security systems.
r) Using automated tools, bots, or scripts to scrape data or artificially inflate views/engagement.
s) Manipulating search results, ratings, or recommendations.
t) Spamming users with unsolicited promotional messages.
u) Interfering with other users' legitimate access to the Platform.

5.2 Reporting Violations: If you suspect a user or event violates these Terms, you must report it immediately to compliance@moviao.com with detailed evidence. Moviao will investigate reports in good faith and take appropriate action.

5.3 Zero-Tolerance Policy: Moviao maintains a zero-tolerance policy for fraud, harassment, and illegal activity. First-time violations may result in account suspension or permanent termination at Moviao's sole discretion.

SECTION 6: REFUND POLICY & PAYMENT TERMS

6.1 Refund Eligibility: All refund decisions are made by the Event Organizer, not by Moviao. Moviao does NOT guarantee or process refunds unless:
a) Explicitly required by applicable law (e.g., EU consumer protection laws).
b) The event is canceled by the Organizer.
c) A payment processing error occurs on Moviao's infrastructure.

6.2 Organizer Refund Obligations: Organizers must:
a) Clearly state and disclose their refund policy before ticket sales commence.
b) Refund all ticket payments (minus Moviao's service fees) within 14 calendar days of event cancellation.
c) Honor refund requests made within the timeframe specified in their refund policy.
d) Not levy additional cancellation fees beyond those disclosed at the time of purchase.
e) Process refunds using the original payment method used by the Attendee.

6.3 Non-Refundable Transactions: The following transactions are non-refundable unless otherwise required by law:
a) Tickets purchased for events that occur as scheduled.
b) Subscription fees for access to content or benefits received.
c) Promotional codes or discounts that have been used.
d) Service fees, processing fees, and taxes paid at the time of purchase.

6.4 Moviao Service Fees: Moviao retains all service fees and payment processing fees, regardless of whether a refund is subsequently issued by the Organizer. Service fees are non-refundable and represent payment for our intermediary, payment processing, and platform infrastructure services.

Example: If an Attendee purchases a €100 ticket with a 5% (€5) Moviao service fee, and the Organizer later issues a refund, the refund amount is €100, but Moviao retains the €5 service fee. The Organizer will receive €95.

6.5 Chargeback Disputes: If an Attendee initiates a chargeback with their bank or payment processor without first contacting the Organizer or Moviao, the Attendee's account will be immediately suspended, and the account may be permanently banned. Chargebacks without prior dispute resolution attempt will be treated as fraud.

6.6 Refund Timing: After an Organizer issues a refund through the Platform:
a) Refunds will be processed to the original payment method within 5-10 business days.
b) Bank transfers may require an additional 2-5 business days to appear in the Attendee's account.
c) Credit card refunds may take 1-3 billing cycles to appear on the cardholder's statement.
d) Moviao is not responsible for delays caused by the Attendee's financial institution.

6.7 Payment Processing: By making a payment through the Platform, you authorize Moviao and its payment processors to charge your payment method for the full transaction amount, including all applicable taxes and fees. All transactions are processed in real-time; reversal of a charge is only possible through a formal refund request.

SECTION 7: PAYMENT METHODS & BILLING

7.1 Accepted Payment Methods: Moviao accepts all major credit cards, debit cards, bank transfers, digital wallets (PayPal, Apple Pay, Google Pay), and other payment methods as displayed on the checkout page.

7.2 Currency & Conversion: Transactions are processed in the currency specified at checkout. If you are charged in a currency different from your home currency, your bank or payment processor may apply an exchange rate. Moviao is not responsible for exchange rate fluctuations or currency conversion fees.

7.3 Billing Authorization: By providing payment information, you authorize Moviao and its payment processors to:
a) Verify the authenticity and availability of funds.
b) Charge your payment method for the transaction amount.
c) Store payment information securely for future transactions (if you consent).
d) Charge for recurring subscriptions on the schedule you select.

7.4 Subscription Billing: For recurring subscriptions:
a) You will be charged on the date your subscription begins and on each renewal date thereafter.
b) Moviao will send a billing reminder at least 7 days before each renewal.
c) You may cancel your subscription at any time through your account settings, effective at the end of the current billing period.
d) Cancellations are permanent and non-recoverable.

7.5 Payment Failures: If a payment fails due to insufficient funds, incorrect payment details, or technical issues:
a) Moviao will attempt to retry the payment up to 3 times over 5 business days.
b) If payment fails after 3 attempts, your access to the Platform or purchased content may be suspended.
c) You are responsible for maintaining valid payment information in your account.

7.6 Price Changes: Moviao reserves the right to change prices, service fees, and subscription costs with 30 days' notice. Continued use of the Platform after the price change constitutes acceptance. Existing subscription rates will remain unchanged for the current billing period.

SECTION 8: GDPR & DATA PROTECTION COMPLIANCE

8.1 Applicability: This Section 8 applies to all users in the European Union, European Economic Area, Switzerland, and to any individuals whose data is processed by Moviao in accordance with GDPR (EU 2016/679) and equivalent local data protection laws.

8.2 Your Data Protection Rights (GDPR Articles 12-22):

RIGHT TO ACCESS (Article 15):
You have the right to request access to all Personal Data Moviao holds about you, including:
- A copy of all data collected about you.
- The purpose for which data is being processed.
- The legal basis for processing.
- To whom your data has been shared.

To exercise this right, email dpo@moviao.com with the subject "GDPR Data Access Request" and provide a description of the data you seek.

RIGHT TO RECTIFICATION (Article 16):
You have the right to correct any inaccurate or incomplete Personal Data. You may update your account information directly through your profile settings or submit a written request to dpo@moviao.com.

RIGHT TO ERASURE / "RIGHT TO BE FORGOTTEN" (Article 17):
You have the right to request deletion of your Personal Data, except where:
- Data retention is required by law or regulation.
- Data is necessary to fulfill contractual obligations or process payments.
- Data must be retained for legal claims or dispute resolution.
- You have a pending refund or financial claim.

To request erasure, email dpo@moviao.com with the subject "GDPR Right to Be Forgotten Request."

RIGHT TO RESTRICT PROCESSING (Article 18):
You may request that Moviao restrict processing of your data while you contest its accuracy, legality, or necessity. During the restriction period, we will only store your data and not actively process it.

RIGHT TO DATA PORTABILITY (Article 20):
You have the right to receive your Personal Data in a structured, commonly used, machine-readable format (e.g., CSV, JSON) and to transmit it to another organization. Email dpo@moviao.com to request a data export.

RIGHT TO OBJECT (Article 21):
You may object to:
- Marketing and promotional communications: You may unsubscribe from marketing emails at any time by clicking "Unsubscribe" in the email footer or updating your preferences in account settings.
- Processing for purposes other than those essential to the contract: Submit an objection to dpo@moviao.com.

RIGHTS RELATED TO AUTOMATED DECISION-MAKING (Article 22):
Moviao does not use automated decision-making (e.g., AI, algorithms) to make decisions that produce legal effects or similarly significant effects on users. All important decisions (account suspension, refund denials, etc.) are made by human review.

8.3 Legal Basis for Processing: Moviao processes your Personal Data based on:
a) Contract Necessity: To perform our services and process payments (Article 6(1)(b)).
b) Legal Obligation: To comply with tax, anti-money laundering, and fraud prevention laws (Article 6(1)(c)).
c) Legitimate Interest: To improve our services, prevent fraud, and ensure platform security (Article 6(1)(f)).
d) Consent: For marketing communications and non-essential data processing (Article 6(1)(a)).

8.4 Data We Collect:

ESSENTIAL DATA (required to use the Platform):
- Name, email address, phone number
- Account credentials (username, password hash)
- Payment information (processed by PCI-DSS compliant third parties)
- Event history and transaction records
- IP address and device information for security

OPTIONAL DATA (you may choose to provide):
- Profile photo and biographical information
- Social media accounts
- Event interests and preferences
- Marketing consent and communication preferences

AUTOMATICALLY COLLECTED DATA:
- Cookies and similar tracking technologies (see Cookie Policy)
- Log files (IP addresses, browser type, pages visited)
- Analytics data (time spent on page, click behavior)
- Device information (OS, browser, device type)

8.5 Data Minimization: Moviao collects only Personal Data necessary for the purposes specified in this section. We do not collect excessive, irrelevant, or sensitive data unless explicitly required by law or with your consent.

8.6 Data Security & Encryption:
a) All Personal Data is encrypted in transit using TLS 1.2 or higher.
b) Payment information is processed by PCI-DSS Level 1 compliant payment processors.
c) Data at rest is encrypted using industry-standard encryption algorithms (AES-256).
d) Access to Personal Data is restricted to authorized employees and service providers on a need-to-know basis.
e) Employees with access to Personal Data undergo annual data protection training.
f) Moviao maintains a data inventory and regularly conducts security audits.

8.7 Data Retention: Moviao retains Personal Data for the minimum duration necessary:
- Account data: For the duration of the account plus 7 years for tax/legal compliance.
- Payment records: 10 years (required by financial regulations).
- Marketing data: Until you unsubscribe.
- Log data and analytics: 90 days (unless required for security investigation).
- Communication records: 3 years (unless a dispute is pending).

8.8 Data Breach Notification: In the event of a confirmed data breach involving Personal Data:
a) Moviao will notify affected users within 72 hours of discovery of the breach.
b) Notification will include: the nature of the breach, data affected, measures taken, and your rights.
c) If the breach poses a high risk of harm, Moviao will also notify the relevant data protection authority.
d) Users may be entitled to compensation if the breach results in provable damages.

8.9 Third-Party Data Processors: Moviao may share Personal Data with the following categories of processors:
a) Payment Processors: Stripe, PayPal, Adyen (PCI-DSS compliant).
b) Email Service Providers: Mailgun, SendGrid (for transactional emails only).
c) Cloud Hosting Providers: AWS, Azure (GDPR compliant data centers).
d) Analytics Providers: Google Analytics (with anonymization enabled).
e) CRM & Customer Support: Zendesk, Intercom (with Data Processing Agreements in place).

All third-party processors have signed Data Processing Agreements (DPA) that comply with GDPR Article 28. You may request a copy of any DPA by emailing dpo@moviao.com.

8.10 Data Sharing with Organizers: When you purchase a ticket for an event:
a) Your Personal Data (name, email, phone, ticket details) is automatically shared with the Event Organizer.
b) You explicitly consent to this data sharing at the time of ticket purchase.
c) The Organizer becomes a separate Data Controller for your data and is responsible for compliance with GDPR.
d) Moviao is not liable for the Organizer's handling of your data.
e) You may contact the Organizer directly to exercise your GDPR rights regarding data they control.

8.11 Organizer Data Processing Obligations: All Organizers must:
a) Comply fully with GDPR and applicable data protection laws.
b) Use attendee data solely for event-related purposes (communication, ticketing, event updates).
c) Not sell, trade, or share attendee data with third parties without explicit consent.
d) Delete attendee data within 90 days of event completion (unless required by law or with consent).
e) Implement appropriate security measures to protect attendee data.
f) Notify Moviao immediately of any data breaches involving attendee data.

Organizers who violate these obligations may have their accounts suspended or terminated, and may be liable for damages.

8.12 International Data Transfers: If you are located outside the EU and access the Platform, your data may be transferred to and processed in the EU. If you are in the EU and your data is transferred to a non-adequate jurisdiction (e.g., United States), the transfer is conducted under Standard Contractual Clauses (SCCs) approved by the European Commission.

8.13 Data Protection Officer (DPO): Moviao has appointed a Data Protection Officer (DPO) to oversee compliance with this data protection policy. You may contact the DPO at:

SECTION 9: INTELLECTUAL PROPERTY RIGHTS

9.1 Moviao's Intellectual Property: All content, design, code, logos, trademarks, and features of the Platform are the exclusive property of Moviao.com or our licensors. You are granted a limited, non-exclusive, non-transferable license to use the Platform solely for your personal or business purposes in accordance with these Terms.

9.2 User-Generated Content: You retain ownership of any content you create and upload to the Platform, including event descriptions, photos, videos, and promotional materials ("UGC").

9.3 UGC License Grant: By uploading UGC to the Platform, you automatically grant Moviao a worldwide, royalty-free, perpetual license to:
a) Display and distribute your UGC on the Platform.
b) Create derivative works (e.g., thumbnails, resized images).
c) Promote the Platform using your UGC (with attribution).

9.4 Copyright Enforcement: If you believe your copyright has been infringed on the Platform, you may submit a DMCA notice to dmca@moviao.com. Notices must include:
- A description of the copyrighted work.
- Identification of the infringing content.
- Your contact information and declaration under penalty of perjury.

Moviao will investigate and remove infringing content within 10 business days. Repeat infringers will have their accounts terminated.

9.5 Ticket Resale & Scalping: Unauthorized resale, transfer, or duplication of tickets violates these Terms and applicable law. Moviao enforces strict anti-scalping policies and may:
a) Invalidate fraudulently resold tickets.
b) Cancel the event access of users involved in ticket scalping.
c) Refer the matter to law enforcement if applicable.

SECTION 10: LIMITATION OF LIABILITY & DISCLAIMERS

10.1 Disclaimer of Warranties: THE PLATFORM IS PROVIDED "AS-IS" AND "AS-AVAILABLE." MOVIAO DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND CONSEQUENTIAL WARRANTIES, INCLUDING:
- MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT OF THIRD-PARTY RIGHTS
- ACCURACY, COMPLETENESS, OR TIMELINESS OF CONTENT
- UNINTERRUPTED OR ERROR-FREE SERVICE
- SECURITY OF PERSONAL DATA (TO THE EXTENT PERMITTED BY LAW)

10.2 Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, MOVIAO SHALL NOT BE LIABLE FOR:

INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES:
a) Lost profits, lost revenue, or lost business opportunities.
b) Loss of data, corruption of data, or data breaches (except where Moviao's negligence is proven).
c) Emotional distress, reputational harm, or other intangible damages.

DIRECT DAMAGES:
Moviao's total cumulative liability for direct damages shall not exceed the total fees paid by you to Moviao in the 12 months preceding the claim.

EXCLUDED LIABILITY:
a) Event cancellations, postponements, or format changes.
b) Injuries, deaths, or property damage at events.
c) Organizer misconduct, fraud, or failure to deliver promised event content.
d) Attendee disputes, refund disagreements, or payment processing errors by banks/payment processors.
e) Force majeure events (natural disasters, pandemics, war, terrorism, etc.).
f) Third-party misconduct or cyberattacks beyond Moviao's reasonable control.

10.3 Third-Party Content Disclaimer: Moviao does not endorse, verify, or warrant the accuracy of any event listings, organizer information, or user-generated content. You assume all risk when purchasing tickets or attending events.

10.4 Medical & Safety Disclaimer: Moviao does not provide medical advice, event security, insurance, or safety services. Organizers are solely responsible for event safety, compliance with health regulations, and liability coverage.

SECTION 11: TERMINATION & ACCOUNT SUSPENSION

11.1 Termination by Moviao: Moviao may immediately suspend, restrict, or terminate your account without notice or liability if:

TERMS VIOLATIONS:
a) You violate any provision of these Terms.
b) You engage in harassment, fraud, or illegal activity.
c) You repeatedly violate the acceptable use policy (Section 5).

PAYMENT & FRAUD ISSUES:
d) You initiate a chargeback without prior dispute resolution.
e) You use stolen payment methods or identity information.
f) You engage in fraudulent ticket sales or subscription abuse.
g) You operate multiple accounts to evade restrictions.

GDPR & LEGAL COMPLIANCE:
h) You engage in unauthorized data sharing or GDPR violations.
i) You are listed on sanctions or restricted party lists.
j) You use the Platform for illegal purposes or to promote illegal activities.

SECURITY & ABUSE:
k) You attempt to hack, exploit, or reverse-engineer the Platform.
l) You use automated tools, bots, or scripts to scrape data.
m) You pose a security threat to other users or our infrastructure.

11.2 Consequences of Termination:
a) Your account and all associated data will be permanently deleted (unless required by law to retain).
b) All tickets purchased will be invalidated.
c) All active subscriptions will be canceled without refund.
d) You lose access to the Platform and all purchased content.
e) You may be permanently banned from creating new accounts.

11.3 Termination by You: You may terminate your account at any time by:
a) Logging into your account and selecting "Delete Account" in settings.
b) Emailing support@moviao.com with the subject "Account Termination Request."
c) Your account will be deleted within 30 days, subject to data retention obligations.

11.4 Survival: Sections that are intended to survive termination (liability limitations, indemnification, governing law, etc.) will remain in effect indefinitely.

SECTION 12: DISPUTE RESOLUTION & GOVERNING LAW

12.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of Estonia, without regard to its conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

12.2 Jurisdiction: Both you and Moviao irrevocably consent to the exclusive jurisdiction of the courts located in Tallinn, Estonia for any disputes arising from these Terms or use of the Platform.

12.3 Mandatory Mediation: Before initiating any legal proceedings, you and Moviao agree to attempt to resolve disputes through good-faith mediation:
a) The requesting party submits a written notice to compliance@moviao.com describing the dispute, remedies sought, and proposed resolution.
b) Both parties will engage in mediation for up to 60 days.
c) Mediation is at the parties' own expense (each party bears its own costs).
d) If mediation fails, either party may proceed to arbitration or litigation.

12.4 Binding Arbitration: Any dispute not resolved through mediation shall be resolved through binding arbitration conducted under the Rules of the Estonian Arbitration Association:
a) Arbitration shall be conducted by a single arbitrator unless the claim exceeds €100,000, in which case a three-arbitrator panel will be convened.
b) Arbitration shall be conducted in English.
c) The arbitration award is final, binding, and enforceable in any court of competent jurisdiction.
d) The prevailing party may recover reasonable attorney fees and costs.

12.5 Class Action Waiver: You and Moviao agree that disputes shall be resolved on an individual basis. You expressly waive the right to participate in any class action lawsuit, class arbitration, or representative action against Moviao. If any court determines this waiver invalid, that determination applies only to you, and other users' rights to class action are unaffected.

12.6 Injunctive Relief: Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm (e.g., misappropriation of intellectual property, breach of confidentiality).

SECTION 13: INDEMNIFICATION

13.1 Your Indemnification Obligation: You agree to indemnify, defend, and hold harmless Moviao, its officers, directors, employees, agents, and affiliates from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorney fees) arising from or related to:
a) Your breach of these Terms.
b) Your use of the Platform in violation of applicable law.
c) Your infringement of any third-party intellectual property or privacy rights.
d) Your user-generated content or promotional materials.
e) Any event you organize through the Platform.
f) Any injury, death, or property damage at an event you organize.

13.2 Defense Cooperation: In defending any indemnified claim, you agree to:
a) Cooperate fully with Moviao's legal counsel.
b) Provide all relevant documentation and evidence.
c) Participate in settlement negotiations in good faith.
d) Not settle any claim without Moviao's prior written consent.

SECTION 14: ORGANIZER-SPECIFIC PROVISIONS

14.1 Organizer Eligibility & Verification: To create or promote events, you must:
a) Provide accurate business information, including legal entity name, registration number (if applicable), and tax ID.
b) Comply with all business licensing, permit, and registration requirements in your jurisdiction.
c) Undergo identity verification and background screening (Moviao reserves the right to require additional documentation).
d) Not have a history of event cancellations, fraud, or customer complaints.

14.2 Event Compliance: You warrant that all events you organize:
a) Comply with all local, state, national, and international laws and regulations.
b) Do not involve illegal activities, hate speech, violence, or exploitation.
c) Respect intellectual property rights and do not infringe third-party copyrights or trademarks.
d) Include appropriate safety measures and liability insurance.
e) Comply with all health and safety regulations applicable to the event venue and nature.

14.3 Liability Insurance: Organizers are strongly encouraged to obtain comprehensive liability insurance covering attendee injuries, property damage, and cancellation. Moviao does NOT provide or guarantee event insurance.

14.4 Event Cancellation: If you cancel an event:
a) You must issue full refunds (minus Moviao's service fees) within 14 calendar days.
b) You must notify all ticket purchasers immediately of the cancellation.
c) Failure to refund within 14 days may result in account suspension and legal action.

14.5 Organizer Payments & Settlements:
a) Moviao will settle (pay out) funds to your designated bank account within 7-14 business days after the event (or refund period if applicable).
b) Moviao retains service fees, payment processing fees, and applicable taxes.
c) If disputes arise after settlement, Moviao may withhold future payments pending resolution.

14.6 Organizer Data Responsibilities: As the controller of attendee data, you must:
a) Provide a clear privacy notice to attendees before ticket purchase.
b) Only use attendee data for event-related communications.
c) Comply fully with GDPR and local data protection laws.
d) Implement appropriate security measures.
e) Respond to attendee data access/deletion requests within 30 days.

14.7 Prohibited Event Types: You may not organize events involving:
a) Illegal activities or services.
b) Weapons sales or distribution.
c) Drug manufacturing or distribution.
d) Exploitation of minors.
e) Hate speech or violence promotion.
f) Unauthorized gambling or financial schemes.

SECTION 15: ATTENDEE-SPECIFIC PROVISIONS

15.1 Ticket Authenticity: By purchasing a ticket, you acknowledge:
a) The ticket is valid only for the named event and date.
b) The ticket is non-transferable unless expressly permitted by the Organizer.
c) Attempts to resell, duplicate, or transfer your ticket without authorization violate these Terms.
d) Fraudulently obtained tickets may be invalidated, and you may be refused entry.

15.2 Venue Access Rules: By attending an event, you agree to:
a) Follow all venue rules and regulations.
b) Respect the safety and privacy of other attendees.
c) Comply with security procedures (bag checks, ID verification, etc.).
d) Not engage in prohibited conduct at the venue (harassment, assault, intoxication, etc.).

15.3 Recording & Photography: Unless explicitly permitted by the Organizer, you may not:
a) Record audio or video of the event.
b) Take photographs and distribute them for commercial purposes.
c) Livestream or broadcast the event.
d) Capture and share copyrighted performances or presentations.

Unauthorized recording may result in event removal, account termination, and legal action.

15.4 Refund Eligibility: You are not entitled to a refund if:
a) You voluntarily fail to attend the event.
b) The event occurs as advertised and scheduled.
c) You are denied entry due to violation of venue rules or these Terms.
d) You recorded, photographed, or livestreamed without permission.

SECTION 16: PLATFORM POLICIES & PROCEDURES

16.1 Content Moderation: Moviao reserves the right to:
a) Review user-generated content for compliance with these Terms.
b) Remove or restrict access to content that violates these Terms.
c) Suspend or terminate accounts engaged in prohibited conduct.
d) Cooperate with law enforcement investigations.

16.2 Communication & Notices: Moviao may contact you via:
a) Email to the address associated with your account.
b) SMS to the phone number you provided (if applicable).
c) In-app notifications displayed in your account.
d) Postal mail to the address you provided.

You are responsible for maintaining current contact information. Notices are deemed received 24 hours after transmission.

16.3 Policy Changes: Moviao may modify these Terms at any time. Material changes will be announced with at least 30 days' notice. Continued use of the Platform after the effective date constitutes acceptance of the new Terms.

16.4 Feedback & Suggestions: Any feedback, suggestions, or feature requests you provide to Moviao become the exclusive property of Moviao. Moviao may use your feedback for any purpose without compensation or attribution.

17.1 Accessibility Commitment: Moviao is committed to ensuring the Platform is accessible to users with disabilities in accordance with WCAG 2.1 Level AA standards.

17.2 Non-Discrimination: Moviao does not discriminate based on race, color, religion, national origin, sex, sexual orientation, gender identity, age, disability, or other protected characteristics.

SECTION 19: SEVERABILITY & ENTIRE AGREEMENT

19.1 Severability: If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed, and the remaining provisions shall remain in full force and effect.

19.2 Entire Agreement: These Terms, along with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Moviao regarding the Platform and supersede all prior agreements, understandings, and communications.

19.3 No Waiver: Moviao's failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
